These terms govern your use of this site and, where applicable, the diligence response portal hosted at the same domain.

Engagement-controlled use

Where the firm has issued you portal credentials in connection with a transaction, your use of the portal is also governed by the engagement letter, expression of interest, and any non-disclosure agreement between the parties. Those instruments take precedence over these terms in case of conflict.

Confidentiality

The portal is provided on a confidential basis to a single named respondent. Sharing credentials, scraping, or systematic export of questionnaire content beyond what is necessary to respond is not permitted.

No advice

This site does not provide legal, tax, or financial advice. The firm provides advice only under a written engagement.

Audit trail

Logins, page views, saves, document uploads, and submissions on the portal are logged with timestamps, IP addresses, and user agents. Logs are retained for the duration of the engagement and the limitation period thereafter and may be relied upon as evidence of disclosure.
